Notice of demerger of the company

Notice of demerger of the company KARIM spol. s r.o. and the transfer of property to the acquiring company KARIM Europe s.r.o.

Dear Sir or Madam,

Our company would like to inform you that as a result of the demerger of the company KARIM, spol. s r.o., Id. no. 45477213, with its registered seat in Hulín, Wolkerova 1279, Post code 768 24, by spin-off with formation of a new company, a part of property of the company KARIM, spol. s r.o. specified in the Spin-off project of 30 June 2011 was transferred to the new formed company KARIM Europe s.r.o., Id. No. 293 04 865, with its registered seat in Hulín, Wolkerova 1279, Post code 768 24 with the legal effects as to 9 January 2012.

The company KARIM Europe s.r.o. as the acquiring company entered into all rights and duties of the company KARIM, spol. s r.o. which are specified in the Spin-off project of 30 June 2011 and in such extent is its legal successor.

The company KARIM Europe s.r.o. has, among others, taken over to the full extent all present business activities of the company KARIM, spol. s r.o. in the Czech Republic.
